President

The President shall preside at all meetings of the Board of Directors and of the Members. The President shall be the chief executive officer of the Corporation.  Subject to the foregoing, the Officers of the Corporation shall have such powers and duties as usually pertain to their respective offices and such additional powers and duties specifically conferred by law, by the Article of Incorporation, by these By Laws, or as may be assigned to them from time to time by the Board of Directors.

The President shall be the chief executive officer of the Corporation and shall in general supervise and control all of the business and affairs of the Corporation. He or she shall (i) preside at all meetings of the Corporation; (ii) appoint committees along and in consultation with the Board of Directors; (iii) be an ex-officio member of all standing divisions and committees; (iv) sign any drafts or checks; (v) any expenditures above $250 shall be prior approved by the Board; and (vi) perform all duties incident to the office of President and such other duties as may be prescribed by resolution of the Board of Directors from time to time.

Vice President & Events Coordinator

The Vice President shall perform all duties incident to the office of Vice President and such other duties as may be assigned to him or her by the President or as may be prescribed by resolution of the Board of Directors. In the absence of the President or in the event of his or her inability or refusal to act, the Vice President shall perform the duties of the President and, when so acting, shall have all the powers of and be subject to all the restrictions upon the President.

Treasurer

The Treasurer shall: (i) have custody and control of all funds and financial records of the Corporation; (ii) sign any drafts or checks; (iii) any expenditures above $250.00 shall be prior approved by the Board; (iv) give a report of the financial status of the Corporation at each regular meeting; and (v) in general perform all duties incident to the office of Treasurer and such other duties as may be assigned to him or her by the President or as may be prescribed by resolution of the Board of Directors from time to time.

Secretary

The Secretary shall (I) keep the written records of the Corporation and keep the minutes of the meetings of the Voting Members and of the Board of Directors in one or more books provided for those purposes; (ii) ensure that all notices are duly given in accordance with the provisions of these By Laws or as required by law (iii) be the custodian of the corporate records and the seal of the Corporation and ensure the seal of the Corporation is affixed to all document, the execution of which is duly authorized by resolution of the Board of Directors; (iv) Record and distribute minutes of all meetings of the Board of Directors; (v) maintain all official records of the Corporation including: membership lists of the Board of Directors and the Voting Members of the Corporation. Treasurer's Reports, corporate tax records and returns, By Laws, rules and newsletters.

Membership Director
The Membership Director shall be appointed by the Officer Directors and shall be responsible for maintaining member records, providing an up-to-date listing of all members and addresses to the Board of Directors at each meeting. The Membership Director shall receive all new member applications and all current members' renewal forms and payment.   Payments shall be forwarded by the Membership Director to the Treasurer. The membership director shall also provide a list of members' addresses for the purposes of mailing the monthly newsletter to the Newsletter Editor and whoever is designated by the Board of Directors to publish and mail, whether via regular or electronic mail, the monthly newsletter. The Membership Director shall also perform other duties as prescribed by the president with regards to notification to members of expiring membership.

Newsletter Editors

The Newsletter Editor shall be appointed by the Officer Directors and be responsible for organizing, editing and publishing the monthly official club newsletter. The Newsletter Editor shall be reimbursed for all direct expenses associated with publication and mailing costs. The monthly club newsletter shall be provided to all members in good standing, local Matai dealerships and sponsors, other Miata Club chapters, and one-time mailings to interested prospective members. The Board of Directors must approve any other distributions or mailings

WebMasters

The Web Master shall be appointed by the Officer Directors, shall be responsible for the club web site. Providing updates concerning club information.

Motorsports Director

The Motorsports Director shall be appointed by the Officer Directors, be the club safety steward and be responsible for coordinating club competitive track activities and driving schools.

Representatives

The representatives are appointed by the board and may serve as long as the board desires or until he/she resigns the position.

 

All Representatives have the same responsibilities. They differ only in area. The Pennsylvania Reps (1 & 2) share responsibilities. The South Jersey Representative covers all counties including (and south of) Burlington and Ocean counties. The North Jersey Representatives covers all counties including (and north of) Monmouth and Mercer counties. The Delaware Representative covers all of Delaware and those members in states other than Pennsylvania and N Jersey.

 

The By Law description of the Representative's duties appears below:

State Representatives for Delaware (one), Pennsylvania (two) and New Jersey (two) shall be appointed by the Officer Directors. State Representatives shall be responsible for coordinating club activities in their respective states and such other duties as may be assigned to him or her by the President or as may be prescribed by resolution of the Board of Directors from time to time. State Representatives will turn in event information to the Vice President to confirm availability of requested dates. After confirmed and approved by the Vice President the State Representative will provide the proper event documentation to the event coordinator.

Membership

  • Welcome new members within the jurisdiction by email or phone call. Render assistance and answer questions, where required.

  • Follow up on those that fail to renew membership and record reasons for their failure to renew, report to board.

Miata Runs

  • Act as Liason between those wishing to lead a Miata run and the Vice President (as events coordinator).

  • Assure that run leaders have all the assistance they need including pre-run release forms and instruct them on the rules of conducting a run if this is their first club run.

  • Assure that run leaders turn in signup sheets to the club secretary within 1 week of the run.

  • Assure that run leaders publish their run announcement in the Club newsletter and on the Club website.

  • Assure that run leaders have a follow up article after the run for the club newsletter and website.

Dealerships

  • Act as a liason for the club with any Mazda dealerships in the jurisdiction. Encourage the use of newsletter and Club brochures.
  • Encourage dealer advertisement for the club newsletter and club website.

Liaisons

The liaisons are  appointed by the board and may serve as long as the board desires or until he/she resigns the position.
